Terms of Use & Product Purchase Terms

These Terms govern your access to and use of arkhorizonllc.com and related Ark Horizon pages (the “Site”), and your purchase or use of downloadable software tools offered by Ark Horizon LLC (“Ark Horizon,” “we,” “us,” or “our”). By using the Site or purchasing, downloading, installing, or using a Product, you agree to these Terms and the applicable Product license. If you do not agree, do not use the Site or Product.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter a binding contract. If you use the Site or a Product for an organization, you represent that you have authority to bind it, and “you” then includes both you and the organization. The Site and Ark Horizon Tools are not directed to children. Qissa is governed by separate terms.
2. Site and Products
Ark Horizon provides information, downloadable local browser tools, templates, educational materials, and links to third-party marketplaces. Unless a product page says otherwise, Ark Horizon Tools are one-time digital downloads; installed or opened by the customer; designed to run locally in a compatible browser; licensed, not sold; intended for personal or internal business use; and are not cloud services and not a substitute for professional advice. Specific functionality, requirements, formats, update terms, and support are described in the applicable listing and EULA.
3. Product license and EULA
Each Product is governed by its End User License Agreement (“EULA”), incorporated into these Terms. If these Terms conflict with a Product EULA about use of that Product, the EULA controls. Unless the EULA expressly permits otherwise, you may not resell, redistribute, sublicense, publish, rent, lease, or share the Product; remove copyright, trademark, or license notices; offer the Product or a modified version as a competing product; use automated means to extract or reproduce substantial portions; reverse engineer, decompile, or attempt to obtain source code (except to the limited extent a law expressly prohibits that restriction); or use the Product unlawfully or to violate another's rights. You may make reasonable backup copies solely for your licensed use.
4. Third-party marketplaces
Purchases may be completed through Etsy, Gumroad, Payhip, or another platform, and are also subject to that platform's terms. The marketplace may process payment, calculate and collect tax, deliver download links, control refund tools, provide order and customer information to us, and impose additional account or dispute procedures. Ark Horizon does not control a marketplace's availability, account restrictions, payment processing, or independent privacy practices. Nothing here excludes Ark Horizon's responsibility for obligations that applicable law places directly on Ark Horizon.
5. Price, taxes, delivery, and access
Prices and currency are displayed at checkout. You are responsible for taxes, duties, and charges except where the marketplace or Ark Horizon is legally required to collect them. Digital Products are generally delivered immediately after successful payment. You are responsible for using a valid email and marketplace account; downloading and backing up files while access is available; maintaining compatible hardware and software; and protecting downloaded and exported files. Contact support if a valid purchase cannot be accessed. We may correct obvious pricing or listing errors before fulfillment; if an order cannot be fulfilled, the remedy is a refund of the affected purchase.
6. Refunds and nonwaivable rights
The applicable Product Refund Policy is presented with the Product or made available before purchase. Because a digital Product may be delivered immediately, refunds may be limited after download or access, subject to the marketplace's mandatory rules, applicable consumer-protection law, and rights that cannot lawfully be waived. Nothing in these Terms eliminates a nonwaivable right or remedy.
7. No professional advice
The Site and Products are for general informational, organizational, educational, and analytical use. They are not financial or investment advice; tax, legal, accounting, or bookkeeping advice; lending, underwriting, appraisal, brokerage, or real-estate advice; employment, HR, medical, or insurance advice; or a guarantee of compliance, profit, approval, value, savings, or outcome. You are responsible for selecting and verifying inputs, independently reviewing calculations and outputs, using qualified professionals where appropriate, complying with laws and duties, maintaining source records and backups, and deciding whether and how to act. Do not make a material financial, legal, employment, lending, housing, medical, insurance, or investment decision solely from a Product output.
8. Accuracy, local storage, and backups
Software, formulas, templates, assumptions, and outputs may contain errors, omissions, or outdated information. For Products that use browser localStorage: data may be tied to one browser profile and device; private/incognito mode may not preserve it; clearing browser data, resetting a browser, deleting a profile, reinstalling software, device loss, corruption, or hardware failure may erase it; and Ark Horizon may have no copy and may be unable to restore it. Export and protect your own backups. Exported files may contain sensitive information and may not be encrypted.
9. Acceptable use
You may not use the Site or a Product for fraud, abuse, harassment, discrimination, or unlawful activity; infringe intellectual-property, privacy, publicity, confidentiality, or other rights; introduce malware or attempt unauthorized access; interfere with Site operation or security; scrape, crawl, or harvest data contrary to instructions or law; misrepresent affiliation with Ark Horizon; or use a Product to make prohibited high-impact decisions about another person without appropriate authority, review, and legal compliance.
10. Your information and materials · 11. Feedback
You retain rights in information, files, and materials you own and place into a local Product. When you send materials to Ark Horizon for support, feedback, or a consulting inquiry, you grant us a limited permission to use them only as reasonably needed to respond, troubleshoot, secure the service, comply with law, and enforce these Terms. Do not send confidential or third-party information unless authorized and through an appropriate channel. If you voluntarily provide product suggestions or feedback, Ark Horizon may use the ideas without restriction or compensation, without publicly identifying you without permission; this does not transfer ownership of your confidential information or pre-existing IP.
12. Ark Horizon intellectual property · 13. Third-party content
The Site, Products, code, designs, documentation, branding, text, graphics, and related materials are owned by Ark Horizon or its licensors and protected by law. “Ark Horizon,” “Qissa,” “Ark Horizon Tools,” product names, logos, and related branding may be trademarks; no trademark license is granted except as necessary to identify a genuine Product. The Site or Products may refer or link to third-party services, data, libraries, open-source components, or marketplaces, whose terms and licenses apply to them. A link or integration does not mean we endorse or control the third party, and we are not responsible for independent third-party outages, content, security, or policies except where law provides otherwise.
14. Updates, changes, and support
Unless a listing or written agreement promises otherwise: a one-time purchase does not include perpetual updates, new features, cloud hosting, or custom support; we may update, replace, or discontinue a Product or Site feature; an update may require a compatible browser or device; and support is provided on a reasonable-efforts basis through the contact below. We will not intentionally remove a paid perpetual local license solely to force a subscription, but future versions or separate products may be priced differently.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ARK HORIZON DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RESULTS, SECURITY, AND AVAILABILITY. WE DO NOT WARRANT THAT A PRODUCT WILL BE ERROR-FREE OR COMPATIBLE WITH EVERY SYSTEM; THAT DATA WILL NEVER BE LOST; THAT OUTPUTS WILL BE COMPLETE, CURRENT, OR SUITABLE FOR A PARTICULAR DECISION; THAT THE SITE OR A MARKETPLACE WILL ALWAYS BE AVAILABLE; OR THAT A THIRD-PARTY PLATFORM WILL PRESERVE DOWNLOAD ACCESS. Some jurisdictions do not allow certain disclaimers, so this Section applies only to the maximum extent permitted.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (1) ARK HORIZON AND ITS OWNERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, REVENUE, BUSINESS, GOODWILL, OPPORTUNITY, TAX BENEFIT, OR INVESTMENT OUTCOME; OR THE COST OF SUBSTITUTE SERVICES. (2) ARK HORIZON'S TOTAL AGGREGATE LIABILITY ARISING FROM A PRODUCT WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID ARK HORIZON OR THE MARKETPLACE FOR THAT PRODUCT, OR USD $50. (3) FOR A CLAIM ARISING ONLY FROM FREE SITE USE, TOTAL LIABILITY WILL NOT EXCEED USD $50. These limits apply regardless of legal theory and even if a remedy fails of its essential purpose, but do not limit liability that cannot lawfully be limited, including for fraud or willful misconduct.
17. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Ark Horizon and its owners, managers, employees, and contractors from third-party claims, damages, judgments, and reasonable costs arising from your unlawful or unauthorized use of the Site or Product; your violation of these Terms or the EULA; materials you provide that violate another's rights; or your use of Product outputs to make or communicate a decision about another person without lawful authority or required review. This does not require you to indemnify Ark Horizon for its own fraud, willful misconduct, or liability that cannot lawfully be shifted.
18. Privacy · 19. Suspension and termination
Our Privacy Policy explains Site data practices, and Product privacy notices explain local Product behavior; those notices are incorporated by reference. We may suspend Site access or terminate a license for a material violation, fraud, abuse, security risk, infringement, or unlawful use. Where reasonably possible, we will provide notice and an opportunity to cure a non-urgent violation. Termination does not eliminate accrued payment, confidentiality, IP, disclaimer, liability, or dispute provisions.
20. Informal dispute resolution
Before filing a lawsuit, the party raising a dispute must send a written notice describing their name and contact information, the order or transaction involved, and the facts and requested resolution. Send notices to support@arkhorizonllc.com with the subject “Legal Dispute Notice” and to the mailing address below. The parties will attempt in good faith to resolve the dispute for 30 days after receipt. This does not prevent either party from seeking emergency injunctive relief, pursuing an eligible small-claims matter, or meeting a legal filing deadline.
21. Governing law and venue · 22. Export
Texas law governs these Terms, without regard to conflict-of-law rules, except where the law of your residence provides nonwaivable consumer rights. Subject to Section 20, an action must be brought in the state or federal courts serving Fort Bend County, Texas, and each party consents to personal jurisdiction and venue there. The UN Convention on Contracts for the International Sale of Goods does not apply. You may not use or export a Product in violation of U.S. export-control, sanctions, or trade laws, and you represent you are not prohibited from receiving the Product under applicable restrictions.
23. Changes · 24. General terms
We may update these Terms; changes apply prospectively from the stated effective date, and a material change will be posted through a reasonable notice method. A change will not retroactively reduce a vested perpetual local-product license or eliminate a nonwaivable right. Entire agreement: these Terms, the applicable EULA, Refund Policy, listing, and Privacy Policy form the agreement for Site and Product use. Order of precedence: a signed agreement controls over these online Terms; a Product EULA controls for Product-license issues; nonwaivable marketplace or consumer rules remain applicable. Severability, no waiver, assignment, no agency, electronic communications apply as customary: an unenforceable provision is limited or removed to the minimum extent; failure to enforce is not a waiver; you may not assign a license without written consent while Ark Horizon may assign in a merger/sale; these Terms create no partnership, employment, fiduciary, or agency relationship; and you consent to receive agreements and notices electronically where permitted.
